The firm offers legal advice to its clients in the Hungarian, English and French languages especially in the following practice areas:
- project finance: advising on the lender’s side, in particular – office, hotel and other infrastructure and acquisitions – project finance documentation preparation and negotiation, including loan agreements, complex security structures and related services, preparation and negotiation of construction and operation agreements
- mergers and acquisitions (M&A): preparation and negotiation of share and/or quota sale purchase agreements effecting the planned acquisition, legal due diligence in connection with the acquisition, as well as, in the case of related bank financings, negotiation of bank financing agreements on the borrower’s side
- greenfield investments: land purchase, rezoning of non-urban areas to urban areas, change of use, subdivision, representation of the client in connection with all of these in proceedings before the competent local and central authorities and organs, as well as legal advice and preparation of transaction documentation throughout the development process until commencement of operations
- hotel law: members of the firm have provided complex legal advice on the buyer/borrower side to Hungarian and foreign investors in the sale of a hotel portfolio valued at more than 100 million Euros; hotel law related advice includes not just preparation and negotiation of acquisition and finance agreements on the buyer/borrower side, but also lease/operation/management agreements, as well as – in the case of operation by owner – preparation of supply and employment agreements necessary for the operation of the hotel
- company law: the firm provides services in the field of company law to a full range of clients, from multinational firms to medium-size Hungarian companies and economic organizations of various size, including selection of the appropriate business and company group-financial form, foundation of companies, branches and commercial representatives, continuing legal advice and document preparation in connection with all of these, as well as company liquidation
- commercial law: providing general legal advice necessary for the everyday operation of domestic companies, preparation of commercial contracts, including distribution, right-of-use, production, delivery, distribution, outsourcing and assignment agreements
- real estate law: planning and document preparation in obtaining property ownership rights , formulation of the necessary agreements for the acquisition; legal advice, document preparation and negotiation of the letting and leasing of office, business and storage areas, restaurants and hotels, completion of legal work necessary in connection with the foundation of residential owner associations
- litigation: formulation of appropriate legal strategies in connection with legal disputes and arbitration, proper representation of the client before arbitration tribunals and other competent authorities, including representation in disputes before the Hungarian Tax Authority
- construction law: preparation of business agreements for the planning and construction of apartment buildings, residential complexes, hotels and office buildings, as well as representation of the developer in negotiations and in proceedings before the construction authorities
- intellectual property law: assistance in registration of certain intellectual property, representation in proceedings before the competent Hungarian and international authorities, legal advice regarding the level of protection warranted for the specific property, as well as, in particular, taking action in response to violation of intellectual property rights, advice and preparation of documents necessary for utilization of intellectual property, as well as assignment of ownership rights
- waste management law: formulation of contractual solutions in connection with the collection, utilization and disposal of waste – in particular electronic waste.
